Terms of Service

The Service is used by three kinds of accounts: an Organization (the paying customer, which manages its own users, sites, and billing), Workers invited by an Organization to perform and record field visits, and Clients invited by an Organization to view visit history for their own site(s).

An Organization is responsible for the accuracy of the information it enters, for the conduct of the Workers and Clients it invites, and for maintaining the confidentiality of its users’ login credentials. Notify us promptly at joe@pruvek.com of any unauthorized use of an account.

Paid Organization accounts are billed on a per-seat, recurring basis through Stripe. By starting a paid subscription, an Organization authorizes us to charge the payment method on file for recurring fees, including changes in seat count.

New accounts may include a free trial period as described at sign-up. Unless stated otherwise, subscriptions renew automatically at the end of each billing period until cancelled. Fees are non-refundable except as required by law or as we expressly state otherwise.

An Organization can cancel its subscription at any time from billing settings; cancellation takes effect at the end of the current billing period.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation
• Upload content you don’t have the right to share, or that infringes another party’s rights
• Attempt to access another Organization’s data without authorization
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer or attempt to extract the source code of the Service, except as permitted by law
• Use the Service to store or transmit malicious code

As between Pruvek and an Organization, the Organization owns the data it and its Workers submit through the Service — including site information, checklist responses, notes, and photos (“Customer Data”). We do not claim ownership of Customer Data.

You grant us a license to host, process, and display Customer Data solely as needed to provide and support the Service (for example, generating visit reports and client-portal views).

You’re responsible for having the necessary rights and permissions — including any consents required from Workers or site occupants — to collect and upload location data, photos, and notes through the Service.

We aim to keep the Service reliably available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue parts of the Service, and may perform scheduled or emergency maintenance, with notice where reasonably practical.

An Organization may stop using the Service and close its account at any time. We may suspend or terminate access to the Service for any account that violates these Terms, poses a security risk, or has significantly overdue payment, with notice where reasonably practical.

Upon termination, we will make Customer Data available for export for a limited period as described in our Privacy Policy, after which it may be deleted.

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Pruvek does not warrant that visit reports or check-in data will be free of error, and Pruvek is not a party to the underlying service relationship between an Organization and its Clients.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRUVEK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY THE RELEVANT ORGANIZATION TO PRUVEK IN THE 6 MONTHS PRECEDING THE CLAIM.

These Terms are governed by the laws of the State of Michigan, USA, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in Kent County, Michigan, and you consent to the personal jurisdiction of those courts.

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, notify Organization admins directly. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
